ARTICLES OF INCORPORATION

September 16, 2001

CALAVERAS GEM AND MINERAL SOCIETY

ARTICLES OF INCORPORATION
AS AMENDED

The undersigned residents of the state of California depose and state:

That he, W.G. Daniel, is the duly elected, qualified and acting President of the Calaveras Gem and Mineral Society, an unincorporated association of the County of Calaveras, state of California with its principal meeting place at Angels Camp, Calaveras County, California.
That she, AwaithaMecham is the duly elected, qualified and acting Secretary of the said Calaveras Gem and Mineral Society, an unincorporated association aforesaid.
That as such officers they have been duly authorized by the association to incorporate under the laws of the state of California and that as such officers they have executed the within Articles of Incorporation.
The name of the corporation is Calaveras Gem and Mineral Society.
That the purpose for which said corporation is formed are to stimulate and encourage the study of the earth and of the gems and minerals therein and thereupon.  The specific purpose of this organization shall be (a) to stimulate interest in the earth sciences and lapidary arts by furthering the knowledge of its members and the public in the earth sciences and lapidary arts by dissemination of the knowledge, methods, and procedures for the study, collection and classification of rocks, minerals and fossils, and (b) the methods to cut alter, fashion, and convert earth sciences specimens for lapidary purposes.
That the corporation is organized pursuant to the General Nonprofit Corporation Law or pursuant to Part 1 of Division 2 of Title 1 of the Corporations Code.  This corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person.  It is organized under the Nonprofit Public Benefit Corporation Law for public and charitable purposes.  This corporation elects to be governedby all of the provisions of the Nonprofit Corporation Law of 1980 not otherwise applicable to it under Part 5 thereof.
The number of directors of said corporation shall be twelve (12) and the names and residences of the persons who are appointed for the first year, and to serve until the election and qualification of their successors are:

That said persons shall be known as directors.
The county in this state where the principal office for the transaction of the business of the corporation is CALAVERAS COUNTY.
That the name of the existing unincorporated association is Calaveras Gem and Mineral Society, organized at Angels Camp, Calaveras County, California, August 18, 1948.

In witness thereof, the undersigned officers of Calaveras Gem and Mineral Society, an unincorporated association, have hereunto set our hands this 10th day of February, 1950.

 (1) The property of this corporation is irrevocably dedicated to public and charitable purposes and no part of the net income or assets of this corporation shall ever inure to the benefit of any director, officer or member thereof or to the benefit of any private person.  (2)  No substantial part of the activities of this corporation shall consist of carrying on propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate or intervene in any political campaign (including the publishing or distribution of statements) on behalf on any candidate for public office.
Upon winding up and dissolution of this corporation, its assets remaining after payment, or provision for payment, of all debts and liabilities or this corporation shall be distributed to a nonprofit fund, foundation, or corporation which is organized and operated exclusively for charitable, educational and/or scientific purposes and which has established its tax exempt status under section 501 (c) (3) of the Internal Revenue Code.

The board of directors has duly approved the foregoing amendment of the Articles of Incorporation.

The foregoing amendments of articles of incorporation have been approved by the required vote of the members.

We further declare under penalty of perjury under the laws of the State of California that the matters set forth in this certificate are true and correct to our own knowledge.

Sue Anne Mecham granted property to the Calaveras Gem and Mineral Society, Inc. on May 27, 1960.  Document 1181 recorded at the request of Archie Mecham on May 31, 1960:  Book 132 Page 143.
